Legends Awaken II terms and conditions

Introduction

These Terms and Conditions ("Terms") govern the ownership and use of the Legends Awaken II NFT ("NFT"). By purchasing, acquiring, or using a Legends Awaken II NFT, you ("Holder") agree to be bound by these Terms. These Terms are subject to the local laws of the respective country and will be enforced accordingly.

Please read these Terms carefully and ensure you understand all risks before proceeding.

1. Ownership rights

The Holder of a Legends Awaken II NFT has ownership rights to the NFT token itself. However, ownership of the NFT does not grant:

• Intellectual property rights to the artwork, brand, or associated materials
• Equity, shares, or ownership in Cronos Legends
• Voting rights in project decisions (except as specified in community governance)
• Rights to profits, revenue, or future earnings of the project
• Any commercial exploitation rights beyond personal use

The NFT represents a limited license to use the associated digital artwork for personal, non-commercial purposes only.

2. Accessing utilities

To access the utilities provided by the Legends Awaken II NFT, holders must:

• Join our official Discord community
• Verify ownership of the NFT through wallet connection or manual verification by creating a ticket in Discord
• Comply with Discord's Terms of Service and community guidelines
• Maintain ownership of the NFT (utilities transfer with NFT ownership)

The project reserves the right to revoke access for violations of community rules or Terms of Service.

3. Utilities

The following utilities are granted to Legends Awaken II NFT holders. Restrictions or limitations are indicated for applicable countries. All utilities are subject to availability and may be modified or discontinued.

Community access

Holders will have access to private community channels and events related to the Cronos Legends project, including:

• Private Discord channels
• Community events
• Early announcements and updates
• Direct communication with the team

No global restrictions for this utility.

In-game use

Use your NFT characters in future Cronos Legends games and experiences, including:

• Character representation in games
• Potential gameplay benefits or features
• Integration with future gaming platforms

Note: Game development timelines are subject to change, and the gaming aspect is under consideration but not guaranteed. No guarantee of specific game features or release dates. Digital assets in games may be restricted in certain jurisdictions.

Voting rights (community governance)

Voting processes will be conducted via Discord for community governance decisions, including:

• Community event planning
• Feature suggestions and priorities
• Discord server modifications

Note: Voting does not constitute corporate governance or equity ownership. Final decisions remain with the project team. Decentralized voting may be restricted in certain jurisdictions.

Launch-era utilities

The following utilities were offered when the collection launched. They have ended and are no longer offered:

• EndedRewards and possible staking: a launch reward pool of $CLG for Discord games and competitions, and possible future staking
• EndedNFT buybacks for marketing: a launch fund for NFT buybacks
• EndedPossible royalty share: a potential share of secondary sales royalties for holders

Burn program

A Legends Awaken II NFT can be burned on-chain for $CLG. The burn program runs on its own published rules: see the burn rules.

4. Transferability

Legends Awaken II NFTs can be transferred to third parties through supported blockchain platforms and marketplaces. The Holder acknowledges and agrees that:

• Any transfer of the NFT will also transfer the associated utilities to the new owner
• The original owner loses all rights and utilities upon transfer
• Transfers are subject to blockchain network fees and platform fees
• We are not responsible for transfers to incorrect addresses or lost NFTs
• You must comply with all local laws regarding the transfer of digital assets

Transfer regulations: Transfer of digital assets may be subject to specific regulations in your jurisdiction. Holders must comply with local laws. Some transfers may trigger tax reporting obligations.

5. No investment or security

The Legends Awaken II NFT is not:

• An investment contract or security
• A share or equity in any company
• A guarantee of profit or financial return
• Subject to regulation as a financial instrument

This NFT is a digital collectible with associated utilities. You should not purchase with the expectation of profit. The project team makes no promises or guarantees regarding future value.

6. Disclaimer and warranty limitation

The Legends Awaken II project, including any associated utilities or rewards, is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

The project team makes no representations regarding:

• Long-term availability of utilities, rewards, or the ecosystem
• Future value or market demand for the NFTs
• Success of any games or projects in development
• Ability to deliver on proposed roadmap items

The original Terms stated that the utilities and rewards would only take effect once the Legends Awaken II NFT collection was fully sold out. All 774 Legends Awaken II NFTs have been minted. There is no guarantee that any utilities will be implemented.

7. Data protection and privacy

We are committed to protecting your personal data in accordance with applicable data protection laws and regulations.

Data we collect:

• Blockchain wallet addresses (public information)
• Discord usernames and IDs (when you join our server)
• Transaction history (public blockchain data)
• Communication with our team (support inquiries)

Your rights:

• Right to access your personal data
• Right to rectification of inaccurate data
• Right to request data deletion where applicable
• Right to data portability
• Right to object to certain processing

Important: Blockchain data is immutable and cannot be deleted. Wallet addresses and transaction history remain permanently on the blockchain.

8. Force majeure

The project team shall not be liable for any failure to perform its obligations where such failure results from circumstances beyond reasonable control, including but not limited to:

• Natural disasters, pandemics, or acts of God
• War, terrorism, or civil unrest
• Government actions, laws, or regulations
• Blockchain network failures or congestion
• Cyber attacks, hacks, or system failures
• Market crashes or extreme volatility
• Exchange or platform shutdowns

9. Changes to terms

The project team reserves the right to modify or amend these Terms at any time for reasons including but not limited to:

• Compliance with new laws or regulations
• Changes to project structure or utilities
• Security improvements
• Clarification of existing terms

Any material changes will be communicated to Holders through:

• Official Discord announcements
• Project website updates
• Social media channels

Continued holding of the NFT after changes constitutes acceptance of the new Terms. If you do not agree with changes, your only remedy is to sell or transfer your NFT.

10. Limitation of liability

To the maximum extent permitted by law:

The project team, its founders, developers, advisors, and affiliates shall not be liable for any:

• Direct, indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Financial losses from NFT value depreciation
• Inability to access utilities or rewards
• Smart contract bugs or vulnerabilities
• Hacks, scams, or fraudulent activities by third parties
• Market manipulation or price volatility
• Regulatory actions or legal changes

Maximum liability: In no event shall our total aggregate liability exceed the original purchase price you paid for the NFT.

11. Indemnification

You agree to indemnify, defend, and hold harmless the project team, its members, and affiliates from any claims, demands, damages, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your use or misuse of the NFT
• Your infringement of third-party rights
• Any fraudulent or illegal activities

12. Dispute resolution and governing law

12.1 Governing law

These Terms shall be governed by and construed in accordance with the laws applicable to digital assets in the jurisdiction where the project is operated, without regard to conflict of law provisions.

13. Prohibited activities

Holders are strictly prohibited from:

• Using the NFT for illegal activities, money laundering, or fraud
• Misrepresenting the NFT as a financial investment or security
• Infringing on intellectual property rights
• Creating derivative works without permission
• Manipulating markets or engaging in wash trading
• Violating platform terms of service (Crypto.com NFT, Discord, etc.)
• Harassing or threatening other community members
• Attempting to exploit bugs or vulnerabilities

Violation of these prohibitions may result in immediate termination of utilities and potential legal action.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

15. Entire agreement

These Terms constitute the entire agreement between you and Cronos Legends regarding the Legends Awaken II NFT and supersede all prior agreements, understandings, and representations, whether written or oral.
